These Terms of Service ("Terms") govern your access to and use of the SynthFlux website at synthflux.pro and related services provided by SynthFlux, operating from 141 Adelaide Street West, Suite 1201, Toronto, ON M5H 3L5, Canada (business number BN 891472635ON0001). By accessing our website or engaging our services, you agree to be bound by these Terms.
1. Acceptance of Terms
By visiting synthflux.pro, submitting a contact enquiry, registering for a programme, or entering into a services engagement, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, you must not use our website or services.
These Terms constitute a legally binding agreement between you and SynthFlux. If you are accessing our services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2. Services Description
SynthFlux provides generative AI synthesis platform services including training programmes (SFX-101 through SFX-601), professional services engagements (architecture review, pipeline integration, model orchestration, governance and compliance), and related consulting. Service descriptions on our website are for informational purposes. Specific deliverables, timelines, and fees are defined in separate programme registration confirmations or services contracts.
3. Website Use
You may use our website for lawful purposes only. You agree not to:
- Use the website in any way that violates applicable Canadian federal, provincial, or local law
- Attempt to gain unauthorised access to our systems, networks, or data
- Transmit malware, spam, or other harmful content through our contact forms
- Scrape, crawl, or harvest content from our website without prior written consent
- Misrepresent your identity or affiliation when submitting enquiries
- Interfere with the proper functioning of the website or its security features
We reserve the right to restrict or terminate access to our website for violations of these Terms without prior notice.
4. Programme Terms
Registration for SynthFlux training programmes is subject to availability and confirmation. Programme fees are listed in Canadian dollars and are payable as specified in the registration confirmation. Cancellation policies are provided at the time of registration. SynthFlux reserves the right to reschedule or cancel programmes with reasonable notice and full refund of fees paid.
Programme materials, lab environments, and certification credentials are provided for personal professional development. Redistribution, resale, or commercial exploitation of programme materials without written consent is prohibited.
5. Services Engagement Terms
Professional services engagements are governed by separate statements of work or master services agreements that supplement these Terms. In the event of conflict between these Terms and a signed services contract, the services contract prevails for matters within its scope.
Client retains ownership of all deliverables, architecture documents, code, and configurations produced during services engagements upon full payment of fees, unless otherwise specified in the engagement contract.
6. Intellectual Property
All content on synthflux.pro — including text, graphics, logos, design elements, and software — is the property of SynthFlux or its licensors and is protected by Canadian and international copyright, trademark, and intellectual property laws. The SynthFlux wordmark and six-layer reference architecture are proprietary.
You may not reproduce, distribute, modify, or create derivative works from our website content without prior written permission, except for personal, non-commercial viewing or as permitted by fair dealing provisions of the Copyright Act.
7. AI Outcomes Disclaimer
SynthFlux provides generative AI synthesis infrastructure, architecture, training, and professional services. We do not guarantee specific business outcomes, revenue increases, cost reductions, or operational improvements from AI deployment. Generative model outputs may contain errors, biases, hallucinations, or inappropriate content regardless of pipeline architecture or governance measures.
Clients and programme participants are solely responsible for evaluating AI-generated outputs before use in production, customer-facing, or regulated contexts. SynthFlux does not warrant the accuracy, completeness, or fitness for purpose of any model output. Human oversight remains the client's responsibility unless explicitly scoped and contracted as a managed service.
Benchmark figures and performance metrics published on our website represent aggregate data from client engagements and do not constitute guarantees of results for any specific organisation or use case.
8. Limitation of Liability
To the maximum extent permitted by applicable law, SynthFlux and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services, including but not limited to loss of profits, data, business opportunities, or goodwill.
Our total aggregate liability for any claims arising under these Terms shall not exceed the greater of (a) the fees paid by you to SynthFlux in the twelve months preceding the claim, or (b) one hundred Canadian dollars (C$100).
Some jurisdictions do not allow limitation of certain damages. In such cases, our liability is limited to the fullest extent permitted by law.
9. Indemnification
You agree to indemnify and hold harmless SynthFlux from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your violation of these Terms, misuse of our services, or deployment of AI systems built using our training or deliverables without appropriate governance and human oversight.
10. Privacy
Your use of our website and services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection and use of information as described therein.
11. Third-Party Links and Services
Our website may contain links to third-party websites or reference third-party model providers and cloud platforms. We are not responsible for the content, privacy practices, or terms of third-party services. Your use of third-party services is at your own risk and subject to their respective terms.
12. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario, located in Toronto.
13. Dispute Resolution
Before initiating formal legal proceedings, parties agree to attempt resolution through good-faith negotiation for a period of thirty days. If negotiation fails, either party may pursue remedies in the courts of Ontario.
14. Modifications
We may modify these Terms at any time by posting updated terms on this page with a revised effective date. Material changes will be communicated to active clients and programme participants via email where feasible. Continued use of our website after changes constitutes acceptance of the modified Terms.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
